Core Dynamics Software Terms
These terms govern access to and use of Core Dynamics software, services, and related deliverables.
1. Acceptance of terms
By accessing or using our applications, APIs, documentation, or related services (collectively, the “Services”), you agree to these Terms of Service and any referenced policies. If you are accepting on behalf of an organization, you represent that you have authority to bind that entity.
2. Accounts and access
You must provide accurate registration details and keep credentials secure. You are responsible for all activity under your account. We may suspend or terminate access for misuse, security concerns, or violations of these terms.
3. Use of services
You will use the Services in compliance with applicable law and our acceptable use policies. You will not (a) reverse engineer or modify the Services, (b) resell or sublicense without written consent, (c) interfere with security or performance, (d) use the Services to process unlawful content, or (e) submit Protected Health Information (PHI), individually identifiable health information, or any data regulated under HIPAA, HITECH, or equivalent health-data protection laws through any intake form, API endpoint, or agent interface.
4. Subscriptions and payment
Fees, billing periods, and renewal terms are defined in the applicable order, statement of work, or online plan. Unless stated otherwise, subscriptions renew automatically. You remain responsible for applicable taxes and for providing accurate billing information.
5. Professional and custom services
Custom development, implementation, or advisory services are provided per a separate statement of work. Deliverables and timelines are subject to your timely inputs and approvals. Unless stated otherwise, custom work product is licensed, not assigned.
6. Data and privacy
We process Customer Data to provide and improve the Services in accordance with applicable data protection laws and our privacy notices. You are responsible for obtaining necessary rights and consents for Customer Data you submit.
No health data. Core Dynamics is not a HIPAA-covered entity or business associate and does not accept Protected Health Information (PHI). You must not submit PHI, electronic health records (EHR), or any individually identifiable health information through the Services. If you inadvertently submit such data, notify us immediately at contact@core-dynamics.io so we can delete it.
7. Security
We implement industry-standard technical and organizational measures to protect the Services. You are responsible for securing your endpoints, credentials, and integrations. Notify us promptly of any suspected unauthorized access.
8. Intellectual property
We and our licensors retain all rights, title, and interest in the Services, underlying software, and associated materials. Feedback may be used to improve the Services without restriction.
9. Warranties and disclaimers
Except as expressly stated in an order, the Services are provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or loss of profits, revenues, or data. Our aggregate liability under these terms will not exceed the amounts paid by you for the Services in the twelve (12) months preceding the claim.
11. Termination
Either party may terminate for material breach if not cured within thirty (30) days of notice. Upon termination, access ceases and fees already paid are non-refundable unless otherwise required by law.
12. Governing law
These terms are governed by the laws of the governing jurisdiction specified in the applicable order or, if none, the laws of the state or country where Core Dynamics is incorporated, excluding conflict-of-law rules.
13. Updates to terms
We may update these terms from time to time. Material changes will be communicated through the Services or via email. Continued use after the effective date constitutes acceptance.
